FAW SOFTWARE LICENSE AGREEMENT

1. DEFINITIONS

  • Software: The product “FAW”, including its executable code, associated data files, libraries, documentation, updates, upgrades, and related materials.

  • Licensee: The individual or legal entity who accepts this Agreement and uses the Software.

  • Agreement: This Software License Agreement.


2. ACCEPTANCE OF TERMS

By installing, copying, or otherwise using the Software, the Licensee agrees to be bound by the terms of this Agreement. If the Licensee does not agree to the terms, they must not install or use the Software.


3. LICENSE GRANT

The Licensor grants the Licensee a non-exclusive, non-transferable, revocable license to install and use the Software in accordance with the type of license purchased.


4. LICENSE TYPES

  • PROFESSIONAL / LAW ENFORCEMENT License: Assigned to a named user. Allows installation on up to five (5) devices but only one active session at any time.

  • PROFESSIONAL ON-DEMAND License: Grants access to a named user for 24 hours from activation. No technical support is available during this period. It is strongly advised to use the Demo version for familiarization prior to activation.


5. RESTRICTIONS

The Licensee may not:

  • Disclose results of Software performance tests without written consent;

  • Circumvent any technical limitations of the Software;

  • Reverse engineer, decompile or disassemble the Software, unless explicitly allowed by applicable law;

  • Make more copies of the Software than permitted;

  • Publish or distribute the Software to others;

  • Rent, lease, or lend the Software;

  • Transfer the Software or this Agreement to third parties;

  • Use the Software for the provision of commercial hosting services.


6. LICENSE ACTIVATION AND RENEWAL

  • License activation begins when the license key is inserted into the Software.

  • Renewal licenses take effect from the expiry date of the previous license. Renewal codes must be activated within 90 days after expiry. Beyond this period, a new initial license must be purchased.


7. BACKUP COPY

The Licensee may create one backup copy of the Software solely for reinstallation purposes.


8. DOCUMENTATION

Individuals with authorized access to the Licensee’s internal systems may copy and use the Software’s documentation strictly for internal reference.


9. EXPORT CONTROL

The Software may be subject to export restrictions under UK and international laws. The Licensee agrees to comply with all applicable export control laws and regulations.


10. SUPPORT SERVICES

The Software is provided “as is”, and no support services are guaranteed unless otherwise agreed in writing.


11. INTELLECTUAL PROPERTY

The Software remains the sole and exclusive property of ENVOLVE FORENSICS LTD. No ownership rights are transferred under this Agreement.


12. WARRANTY DISCLAIMER

The Software is provided “AS IS” without warranties of any kind. The Licensor disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.


13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Licensor’s total liability shall not exceed £5 GBP. Under no circumstances shall the Licensor be liable for indirect, incidental, consequential, or special damages, including loss of profits or data, even if advised of the possibility of such damages.


14. TERMINATION

This license shall automatically terminate if the Licensee fails to comply with any of its terms. Upon termination, the Licensee must cease all use and delete all copies of the Software.


15. GOVERNING LAW AND JURISDICTION

Any obligations and other matters arising out of the FAW Software License Agreement shall be governed by English law. In relation to any legal action or proceedings arising out of or in connection herewith, the parties irrevocably submit to the exclusive jurisdiction of the English courts and waive any objection to proceedings in such courts.


16. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings, whether oral or written, with respect to the subject matter.
